Financial & Tax Disclaimer
LedgerlyPro is a software tool. It is not an accountant, tax advisor, legal advisor, or financial advisor. Nothing in the product constitutes financial, tax, or legal advice.
What LedgerlyPro does NOT do
- LedgerlyPro does not file Self-Assessment returns with HMRC.
- LedgerlyPro does not file RTI payroll submissions with HMRC.
- LedgerlyPro does not file VAT returns with HMRC on your behalf.
- LedgerlyPro is not endorsed by HMRC.
Tax outputs are estimates
Any tax figures shown in LedgerlyPro (income tax, National Insurance, VAT, etc.) are estimates only based on UK rules at the time of calculation. Your final liability may differ. Always verify with an accountant or HMRC directly before submitting.
Payroll summaries
LedgerlyPro provides payroll summaries only — we generate PDF payslips and accountant-ready summary packs. We do not submit RTI returns to HMRC. RTI submissions, tax code changes, pension scheme setup and year-end filings remain your accountant’s or HMRC’s responsibility.
AI suggestions
LedgerlyPro uses AI to assist with expense categorisation, receipt scanning, anomaly detection and written summaries. AI suggestions are estimates and may not always be accurate. You are responsible for reviewing every AI-generated suggestion before relying on it. AI does not replace an accountant.
HMRC Making Tax Digital
Where LedgerlyPro supports HMRC Making Tax Digital submissions in the future, we act solely as a software provider. You are responsible for reviewing all data before submitting it to HMRC.
You are solely responsible for the accuracy of your financial records, the timeliness of your tax submissions, and any decisions made using LedgerlyPro’s output.
Companies House Filing Service
Nature of the service. LedgerlyPro provides software that allows eligible users to prepare and electronically transmit supported filings to Companies House. LedgerlyPro is not Companies House, is not part of Companies House, and does not control whether Companies House accepts a filing.
Your authority to file. By submitting a filing you confirm that you are authorised to submit it on behalf of the company and to use the company authentication code you supply. The authentication code authorises electronic filings for the company and is treated by Companies House as the equivalent of a company officer's signature.
Accuracy of what you file. You remain responsible for checking the accuracy and completeness of the information and documents being filed. LedgerlyPro transmits what you provide; it does not audit, verify or prepare your statutory accounts.
Director approval. For annual accounts, you confirm that the accounts have received any approval required before submission, including approval by the company's directors.
Filing deadlines. Using LedgerlyPro does not remove your responsibility to meet statutory filing deadlines. You should allow time for a filing to be checked and, if necessary, corrected and resubmitted.
Acceptance and rejection. Payment for the LedgerlyPro filing service does not guarantee that Companies House will accept the filing. Companies House may reject a filing because of its validation rules, incorrect information, an invalid authentication code or other statutory requirements. Where a filing is rejected we show you the reason given and you may correct and resubmit it where the filing rules permit.
Statutory fees. Where Companies House charges a statutory fee for a filing, that fee is shown separately from the LedgerlyPro service fee at checkout. Companies House fees may change, and the fee applied at checkout is the current fee configured in LedgerlyPro at the time of payment rather than any figure quoted in marketing material.
LedgerlyPro service fee. The LedgerlyPro filing service fee is a one-off charge for each filing and is separate from, and additional to, the LedgerlyPro £9.99/month subscription. Paying it does not change your subscription, and your subscription does not include filing service fees.
Failed transmission and refunds. If your payment succeeds but LedgerlyPro is unable to transmit the filing to Companies House because of a technical failure on our side before submission, contact support@ledgerlypro.co.uk and we will refund the LedgerlyPro filing service fee for that filing. We do not retain a Companies House statutory fee where no statutory fee was actually incurred. Where a filing is rejected by Companies House on its merits, the service fee covers the transmission that took place, and you may correct and resubmit where the filing rules allow.
Governing Law
These Terms & Conditions are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
